Bavaria Yachts files for bankruptcy as investors pull out, but catamaran division still going strong

Bavaria Yachts, one of the world's largest production boatbuilders, is in financial trouble after US investors decided to withdraw support for the company
German builder Bavaria Yachtbau sent out shockwaves among owners and the industry last week when it declared insolvency. According to German magazine Yacht , US investors Oaktree Capital Management and Anchorage Advisors pulled a day after the sacking of Bavaria’s CEO, Lutz Henkel.
The investors are said to be giving Bavaria a ‘soft landing’, guaranteeing three months of operation until the yard closes for its annual summer holidays.
The news took dealers and suppliers alike by complete surprise.
The insolvency is said to affect the manufacturing arm of the company building Bavaria monohulls. Bavaria Catamarans, formerly Nautitech, is not said to be affected. Bavaria purchased Nautitech from French owner Bruno Voisard and partners just over two years ago.
The catamaran market has been booming with sales outstripping demand, while mid-sized production monohull sales, which slumped in 2008, have never fully recovered.
UK Nautitech dealers Key Yachting Ltd , said: ‘ To this day, the catamaran business remains in Rochefort, France. It is an independent French company with its own employees, suppliers and bank accounts. Seen as the “jewel in the crown” of the Bavaria group, the well managed and profitable catamaran business is already attracting interest from potential buyers.
‘While we understand that both the Catamaran division and the struggling German operation will probably soon be under new ownership, or indeed ownerships, the operation of the Catamaran business is completely unaffected by the situation in Germany. Therefore trading, delivery and after sales service continue as before.’
Bavaria has been through several chapters of ownership. Buyout firm Bain Capital bought the company in 2007 for €1.3bn and handed over two years later to debt investors Oaktree and Anchorage in a huge debt-for-equity transaction in which the two specialists wrote off 90 per cent of Bavaria’s €960m debts.
The company has sought to expand into larger yachts with the launch of two new larger and more luxurious cruisers, the C57 launched last year and C65 that on show in January at boot Düsseldorf. Bavaria is one of the world’s largest volume production manufacturers, oeprating out of a huge plant in Giebelstadt, near Würzburg, where it builds around 4,000 yachts a year.

A job worth doing is worth doing properly, so the saying goes. There’s no doubt that Bavaria have committed wholeheartedly to the concept behind their new C38 and the result is a boat fully confident in its identity. That’s a good job, given the level of competition the C38 will be up against in the 37-38ft production cruiser market.
This boat aims to do three things: create the absolute maximum amount of space on deck and below from the available waterline length; be enjoyable and engaging to sail, if not a race boat; and give a potential buyer the maximum bang for their buck. In practice, the design has added significant volume in both the bow and the stern, introduced a deeper, rounder forefoot to reduce slamming, and has deepened the single rudder, which, coupled with the bow thruster, should give plenty of control in harbour and underway.
A first look at the boat reveals a few significant details. Firstly, her waterline takes up almost her entire length, with virtually no overhangs at the ends. Then there are the chines. This is only the second Bavaria to have hull chines, and they are used to take the significant beam, which is carried all the way aft, down to the water, creating more volume in the aft cabins, as well as providing power to the hull form. Next, there’s the huge bluff bow and vertical stem, again multiplying the volume in the forward cabin. Pretty it might not be, but there’s a certain purposeful muscularity to it.
Bavaria Yachts, the company, gained new owners in 2018, and they’ve been quick to make a fresh start, starting with a plan to update the entire range. Having moved from design house J&J to Cossutti Design, the C38 is the latest, smallest boat in the new lineup. The strongly chined hull shape makes a bold statement about that new direction. I was keen to see how this added up on the water.
TEST VERDICT
If you looked at this yacht and thought the vast volume would make her a poor sailer, you would be mistaken. I was very pleasantly surprised at how much fun we had sailing her. The feel on the helm was direct, responsive and engaging; this boat is fun to sail. She wasn’t twitchy even when overpressed and gave plenty of warning before the rudder started to lose grip. This boat reminds you of why a single rudder makes sense, and is deep enough that she has plenty of grip even when heeled, which is the main reason wide-sterned boats have twin rudders. The benefits when handling in harbour are huge, given that manoeuvring and mooring is the most stressful part of any cruise for most owners.
Granted, the mainsheet purchase needs a bit of improvement, but if I were buying this boat, I’d go for the more easily handled furling main and self-tacking jib, with the Code Zero for the extra sail area to keep the boat moving off the wind. This would seem to fit with the ethos of simple and fun sailing that this boat ascribes to.
WOULD SHE SUIT YOU AND YOUR CREW?
I’d imagine this boat will prove popular with sailing schools and charter companies, but if you’re after maximum boat for your buck for family coastal cruising, this is definitely worth a look too.
The idea of having three king-sized beds on what is really a 36-foot hull is staggering. You’d have to weigh up whether you want an ensuite owner’s head enough to sacrifice some of this bed space in the forward cabin, but given the layout options, there seems little reason to go for the two-cabin rather than three-cabin layout. If you’re not using the third you could still use it for the stowage you’d be missing out on.
Given the price point of this boat, the quality of finish was really very good, and the resurrected Bavaria has upped its game several notches. Arguably, the C38 could now be the boat to beat in this size sector and you’ll struggle to get more new boat for your money than this.

Bavaria Yachts is saved ! A private equity fund advised by the German investment company CMP Capital Management-Partners will continue Bavaria Yachts. The subsidiary Bavaria Catamarans SAS is also being acquired and all 800 employees working in Giebelstadt, Germany and Rochefort, France will transfer to the purchaser.
A private equity fund advised by the Berlin-based investment company CMP Capital Management-Partners will acquire the entire business of Bavaria Yachtbau GmbH and continue its operations. It will also acquire all shares in French subsidiary Bavaria Catamarans SAS. All 550 employees of BAVARIA YACHTS in Giebelstadt and all 250 employees of BAVARIA CATAMARANS in Rochefort will transfer to the purchaser. A corresponding purchase contract between the management of Bavaria Yachtbau GmbH and CMP was concluded and notarized today. The creditors’ committee gave its approval, as did the administrator of Bavaria Yachtbau GmbH, Dr. Hubert Ampferl. The purchase will be completed after merger control clearance by the German Federal Cartel Office, which is expected in a couple of weeks. The parties have agreed not to disclose the purchase price.
CMP Capital Management-Partners is a German investment company that has specialised in the acquisition of companies in distress in Germany, Austria and Switzerland since its foundation in 2000. CMP’s private equity funds are advised by Berlin-based CMP Capital Management-Partners. With the investment in a company, CMP employees assume operative management responsibilities on site. In the case of Bavaria, Dr. Ralph Kudla, restructuring expert and partner at CMP, will join the executive board.
Kai Brandes, Managing Director of CMP Capital Management-Partners explains: “We are convinced of Bavaria’s global market potential and will sustainably develop the company. The restructuring measures will focus on regaining market share and improving production costs.”
Restructuring expert Dr. Tobias Brinkmann, Managing Director of Bavaria Yachtbau since insolvency proceedings began in April 2018 states: “Bavaria is an outstanding company with a strong brand, compelling products and a highly dedicated team. We are pleased to have found a well-known and experienced buyer in CMP who will lead Bavaria into the future. The entire management would like to thank our employees, yacht dealers, customers and suppliers. They have all supported Bavaria Yachtbau during the insolvency proceedings. The fact that Bavaria has been able to successfully build and deliver 220 yachts during the last five months shows how committed and reliable our staff is.”

Inside the Bavaria factory
St editor sam fortescue goes on a tour inside the bavaria factory, which makes 1,000 boats a year.
Even back then, industrialisation was key to the business. A large purpose-built hangar housed hull after hull, busy with workers. As Bavaria CEO Lutz Henkel tells me: “Herrman was the Henry Ford of boatbuilding”.
Today, automation and process are the beating heart of Bavaria, and the 70,000m 2 halls of Bavaria Yachtbau, which turns out over 1,000 boats per year with the input of workers from 14 different countries, resembles none other that I have ever visited. The first thing I see is a row of bikes, which Bavaria’s 600 production workers use to save valuable minutes getting around the factory.
Bavaria’s output has fallen from its 2007 peak of 3,000 boats per year. But it’s not all spare capacity – the boats take longer to complete now.
Bavaria CEO Lutz Henkel explains: “I would say that we are nearly at the same capacity as before – it’s just that our boats are more complicated.
“They have a wider variety of interiors now, whereas before it was ‘take it or leave it’.”
Within a year, all Bavaria boats will be manufactured using vacuum infusion.
Production line
An unbroken production line stretches from the moulding hall through fit out to finishing, each boat on a wheeled cradle which moves from station to station on narrow railway tracks.

A fortnight's build
It takes just two weeks to get a Cruiser 46 gets from being just tubs of epoxy and boxes of screws to a gleaming, finished article.
Changes in processes and options have led to more premium products. A decade ago, the yard’s entry-level Cruiser 33 cost €65,000 (£51,000) ex-VAT; today, the new 34 starts at €89,000 (£70,000).
Laying up the hulls
Laying up is still a very manual task at Bavaria. It is the job of one man to dunk precut strips of glass mat in epoxy resin before they’re collected by colleagues in hazard suits and respirators. They swarm all over the mould with rollers and and in this way, it takes just a day to lay up each hull or deck before it is gently cooked at 60° in a large oven.

New sales Record
Bavaria sold more than 160 yachts at boot düsseldorf.
In the Bavaria World at the boot Düsseldorf 2017 Bavaria Yachts presented not only its entire model range of catamarans, sailing yachts and motorboats but also recorded a new sales record. During the nine days of the international watersports fair and the following two weeks over 160 orders for new yachts were signed. This meant that the company's own sales record of 133 boats sold at last year's show in Düsseldorf could be surpassed once more. Sailing yachts and motorboats each accounted for half of the sales. As in the previous year, the number of catamarans sold also increased.

Bavaria Yachts Back in Business, Seeking Investors
The German boat builder Bavaria Yachts declared bankruptcy several weeks ago and stopped delivering boats to their dealers. This week the company announced that it was moving out of bankruptcy and had started delivering boats once again. See the full report with good background in the British magazine Yachting Monthly.
Bavaria Yachts has announced it is in the process of securing new investment and hopes to make an announcement in July. The German yacht builder is continuing to take orders and deliver new boats.
‘Production has been stabilised and deliveries are continuing: more than 30 yachts have left the shipyard over the past two weeks and have been handed over to customers,’ said Bavaria in a statement.
‘All 600 employees are on duty, and agreements were reached with all major suppliers for further delivery against short payment terms,’ it added.
Bavaria went into self-administration last month. This allowed the firm’s management to remain operational while new investors are sought. Read more.

Covid caused a ‘massive spike' in yacht sales — now some of those boats are back on the market

Some pandemic-era yacht owners are headed back for dry land.
The pandemic spurred a "massive spike" in yacht sales, said Richard Allen, chief operating officer of the Hong Kong-based yachting company Simpson Marine.
"We've seen a lot of those people, that had their boats for two years, sort of now wanting to travel," he told CNBC. "In the last probably few months, talking with other people in the industry, we've seen an increase in brokerage activity of … boats being sold."
That was expected, said Paolo Casani, CEO of the Monaco-based yachting company Camper & Nicholsons.

"We sold, as an industry worldwide, more than the double the yachts [in 2021] than 2019," he told CNBC. When this happens, "they go to the market starting from a couple of years later."
Prices in the pre-owned market
Enthusiasm for yachting remains high, even if sales have fallen since 2021, said Casani.

"The industry is going back to 2019," he said. "And we have to distinguish between brokerage and new builds, because the demand for new builds is still quite high."
With more yachts hitting the brokerage market, prices are down, albeit slightly, from pandemic-era highs, he said.
"Prices are still quite high," he said. "There is still a gap between the demand and the offer ... but we do believe that there will be still a reduction in the course of 2024."
Asia yacht growth 'less than expected'
Some yachts buyers in Asia aren't selling, though, said Allen — in fact, they're trading up for larger vessels.
"Some have actually really enjoyed the boating lifestyle, and are already upgrading … to bigger boats," he said.
Asia — a continent of rising wealth and numerous island nations, many bathed in year-round warmth — has long been viewed as the next frontier for global yacht growth.
Casani and Allen, who spoke to CNBC on April 26 while attending the second annual Singapore Yachting Festival, agreed that the continent's yachting market is growing.
But, Casani said, the pace is "less than expected" for many reasons, including culture, lifestyle and lack of infrastructure.
"But we still believe that Asia has a very high potential," he said.
Allen said the disparate and onerous "rules and regulations" in the region are thwarting progress.
"We need to make it easier for boats to move around between the region," he said. "In one country you might be able to drive a certain size boat, but then another you can't. So those sort of things — the red tape, shall we say."
Complex visa requirements for foreign boat crews are problematic, as are high import taxes, which can reach 40% in some markets, he said.
"We need to do a lot of lobbying with governments to make it easier to import boats," said Allen. "There's a lot of lobbying groups like ICOMIA … that are working much more collaboratively with the different dealers to have a voice to government."
The International Council of Marine Industry Associations, or ICOMIA for short, hosted a two-day conference ahead of the Singapore Yachting Festival to address issues the industry faces, from sustainable propulsion to the lack of marina infrastructure in high-potential countries, such as Indonesia, Philippines and Vietnam.
Beyond buying and charters
Simpson Marine estimates the global marine leisure market will reach an estimated $46.5 billion in 2027 — which it says will trickle down to the local economy through job creation and tourism revenue.
"The yachting industry employs thousands and thousands of people building boats, supporting boats, all the component servicing," said Allen. "This is a ... great industry for countries to embrace."
Newer forms of ownership make yachting less expensive, which is opening the industry to more people. One model that is especially popular in Australia is fractional, or syndicated, ownership, where owners buy a share of a yacht, he said.
Others are avoiding ownership altogether, opting for flexible subscription models, which are now the norm for many forms of entertainment, from music to television.
"We've seen massive growth in boat clubs," said Allen. "It's a bit like joining a gym or a golf club. You pay a monthly membership, and you get the use of a boat so many days a week. And that's very popular for people that don't really want all the hassle of owning a yacht."

BAVARIA YACHTS has been known since its founding as an innovation leader in serial yacht manufacturing. Over 600 sailing yachts and motorboats are manufactured on the shipyard of BAVARIA YACHTS in Giebelstadt, near Würzburg. Four production lines, each 125 meters long, a carpenter’s workshop where the entirety of the yacht is constructed, two halls to manufacture hulls and decks, are accommodated on a large surface measuring 200,000 square meters.
45 years of passion for yachts
Until 1978, a factory for PVC windows stood where BAVARIA YACHTS stands today. Winfried Hermann, himself as sailor, recognized the opportunity this factory and its workforce presented to establish a shipyard for sailing yachts. Its idea: To produce industrial yachts in order to offer them at unbeatable bargain prices and to give many customers the opportunity to purchase a new yacht for themselves.
BAVARIA YACHTS manufactured its first motorboats in 2001, and like the sailing yachts they immediately became successful. Apart from the quality, the unrivalled price‐performance ratio was yet another factor that laid the foundation for its success.
In 2010, one became aware that customers expected much more from a yacht. A yacht was not only supposed to be fast and offer safety in sailing, it was also expected to have the same features as a modern vacation home, along with the highest quality of construction. In comparison to a BAVARIA yacht from 1978, the manufacturing process of today’s BAVARIA yacht is much more complex.

Dr. Brinkmann joined the Board of Management at the time self-administration in April 2018, to guarantee the continuation of business and to head the sale process. With closing completed, the experienced lawyer is now standing down as planned. He guided Bavaria Yachts safely through this particularly difficult business phase.

17 September 2018. Bavaria Yachts has been bought by a private equity fund advised by the German investment company CMP Capital Management-Partners. The move secures 800 jobs in Germany and France. The yacht builders went into self-administration in April, allowing the firm's management to remain operational while new investors were sought.
The good news is that during its insolvency, Bavaria still managed to finish and deliver 220 boats - a testament to the work of administrator Tobias Brinkmann. And the new investor, who paid in the "double digit millions" for Bavaria, is a German fund that specialises in distressed companies "with a healthy core business".

The restructuring also includes the catamaran brand Nautitech, which is built in France.
